By using our services, you agree to the following terms. These guidelines define the relationship between Webnixian and our clients — built on trust, clarity, and mutual respect.

Please read these Terms and Conditions carefully before using our website or engaging Webnixian for any services. By accessing our website or proceeding with a project, you confirm that you have read, understood, and agreed to be bound by these terms.

01. Agreement to Terms

These Terms and Conditions constitute a legally binding agreement between you ("Client") and Webnixian ("Agency", "we", "us", or "our"). By engaging our services, visiting our website, or signing a project or service agreement, you confirm that you have read, understood, and agreed to be bound by these terms.

If you do not agree with any part of these terms, please refrain from engaging our services.

02. Services Provided

Webnixian is a professional digital agency engaged in providing Search Engine Optimisation (SEO), Social Media Marketing, Digital Branding, Content Creation, Google My Business (GMB) Management, and related digital growth services. The specific scope of each engagement is defined in a separate project proposal or service agreement signed by both parties.

A typical monthly digital marketing engagement may include, but is not limited to, the following:

We reserve the right to refuse or discontinue service, subcontract portions of work to trusted partners under confidentiality, or modify scope with reasonable notice.

03. Financial Terms & Payment

All service fees are as agreed in the respective project proposal or service agreement. The standard payment structure for monthly engagements is as follows:

Commencement Payment 40% of the Monthly Agency Management Fee, due upfront before work begins.
Balance Payment Remaining 60% due by the 15th of the current service month.
Grace Period 5 business days. Services are paused immediately after this if payment is not cleared.
Payment Methods UPI or Cash. All prices are exclusive of applicable taxes unless stated otherwise.
Media Budget — Separate Cost The Projected Media Spend (advertising budget paid to platforms such as Google, Meta, or Instagram) is not included in the Agency Management Fee. The Client agrees to pay all media costs directly to the respective platforms, or reimburse the Agency prior to campaigns going live.

One-time fees (e.g., GMB Setup Fee, Business SEO Fee) are invoiced separately and are due prior to the commencement of that specific service.

04. Revisions & Approvals

Our engagements include a defined number of revision rounds per deliverable cycle. The standard terms are:

  • Included Revisions: Two (2) rounds of revisions are included for all creative assets per deliverable cycle.
  • Additional Revisions: Any revisions beyond the included rounds are billed at a flat rate of ₹1,000 per extra revision round.
  • Approval Window: The Client must review and approve submitted content within 48 hours of receipt. If no feedback is provided within this window, the Agency reserves the right to proceed to maintain the delivery schedule.

A revision is defined as a modification within the agreed brief. Changes that alter the original direction, add new requirements, or require significant rework of approved deliverables are treated as additional work and quoted separately.

05. Intellectual Property & Ownership

Ownership Transfer Condition Ownership of final creative assets — including logos, graphics, and branded content — is transferred to the Client only upon receipt of full payment for that service period. No transfer of ownership occurs while any balance remains outstanding.
  • Agency IP: All working files, strategies, templates, proprietary frameworks, and methodologies developed by Webnixian remain our exclusive intellectual property. A licence to use the final deliverables is granted to the Client for the specific project.
  • Third-Party Assets: Stock images, fonts, software licences, and platform tools included in the project remain subject to their respective licence agreements.
  • Portfolio Rights: Webnixian reserves the right to showcase completed work in our portfolio, case studies, and marketing materials unless the Client requests written confidentiality.

06. Client Responsibilities

A successful engagement requires active collaboration. The Client agrees to:

  • Provide necessary access — including social media accounts, Google credentials, OTPs, and platform logins — in a timely manner.
  • Supply high-quality raw images and video content unless the Agency is contracted to produce such content.
  • Designate a primary point of contact with authority to approve deliverables on behalf of their organisation.
  • Review and approve submitted content within the agreed 48-hour approval window.
  • Ensure they hold appropriate rights to all content, images, and materials provided to the Agency.

The Agency is not responsible for missed deadlines, reduced campaign performance, or service interruptions caused by the Client's delay in providing required access, content, or approvals.

07. Confidentiality

Both parties agree to maintain strict confidentiality of all information shared during the course of the engagement. This includes:

  • Business strategies, campaign plans, and performance data.
  • Client platform credentials, login access, and OTPs.
  • Pricing details, project-specific terms, and financial information.
  • Any trade secrets or proprietary business information of either party.

Webnixian will not disclose Client project details to third parties without written consent, except where required by law. This obligation survives the termination of any service agreement.

08. Performance Disclaimer

The Agency commits to executing all agreed strategies to the best of its professional ability. However, due to the dynamic and algorithm-driven nature of digital platforms, Webnixian provides no guarantee of specific results, including:

No Guaranteed Outcomes Search engine rankings or organic traffic volumes  ·  Follower growth or social media engagement rates  ·  Order volumes, sales conversions, or revenue outcomes  ·  App visibility scores on food delivery platforms (Zomato, Swiggy, etc.)

Performance is influenced by market conditions, platform algorithms, competition, industry seasonality, and factors beyond the Agency's control. The Agency is not liable for outcomes that do not meet the Client's expectations.

09. Refund Policy Non-Refundable

All Fees Are Strictly Non-Refundable Once payment is received and work has commenced, all fees paid to Webnixian are non-refundable. Creative effort, platform access, strategy time, and media spend represent non-recoverable costs. By making payment, the Client explicitly acknowledges and agrees to this policy.

Webnixian reserves the right to terminate an engagement in cases of prolonged unresponsiveness (exceeding 30 days), non-payment, or material breach of these terms.

10. Termination & Exit Policy

Notice Requirement A minimum of 15 days' written notice is required for termination by either party. If the Client terminates the agreement without providing this notice, the Client agrees to pay a Termination Penalty equivalent to one week of the Monthly Agency Management Fee, due immediately upon termination.

Asset Freeze: In the event of a notice violation or any unpaid outstanding balance, Webnixian reserves the right to:

  • Withhold all creative assets, source files, and deliverables.
  • Suspend Google My Business access and management.
  • Pause all active ad campaigns and social media activity.

All withheld assets will be released only after the account is fully settled.

11. Indemnification

The Client agrees to indemnify and hold Webnixian harmless against any claims, legal actions, costs, or damages arising from:

  • Content provided by the Client — including product images, descriptions, and promotional material that the Client does not have rights to use.
  • The nature of the Client's products, services, or business practices.
  • Any third-party intellectual property violations resulting from Client-supplied material.

12. Limitation of Liability

Webnixian's total liability to the Client for any claim arising from these terms or the services provided shall not exceed the total amount paid by the Client for the relevant service period in question.

We are not liable for indirect, incidental, consequential, or punitive damages. We do not guarantee specific business results, search engine rankings, revenue outcomes, or platform performance from any engagement.

13. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of India. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts located in Uttar Pradesh, India.

Both parties agree to attempt resolution through good-faith negotiation before pursuing any legal action.

14. Changes to These Terms

Webnixian reserves the right to update or modify these Terms and Conditions at any time. Changes will be effective immediately upon posting to this page with an updated "Last Updated" date. Continued use of our services after any changes constitutes your acceptance of the revised terms.
